AMENDMENT NO. 4 TO FINANCING AGREEMENT, dated as of December 31, 2015 (this "Amendment"), to the Financing Agreement, dated as of December 4, 2014 (as amended, restated, supplemented or otherwise modified from time to time, the "Financing Agreement"), by and among ITT Educational Services, Inc.
