THIS SECOND AMENDED AND RESTATED TRANSACTION AGREEMENT (this "Agreement") is made as of September 16, 2005, by and among JD Holdings, LLC, a Delaware limited liability company ("JDH"), JQH Acquisition LLC, a Delaware limited liability company ("JQHA," together with JDH, collectively, the "JDH Entities"), John Q. Hammons ("JQH"), John Q. Hammons, as Trustee of the Revocable Trust of John Q. Hammons, dated December 28, 1989, as amended and restated ("JQH Trust"), and Hammons, Inc., a Missouri corporation ("Hammons, Inc.," together with JQH and JQH Trust, collectively, the "Stockholders"). This Agreement amends and restates in its entirety the Amended and Restated Transaction Agreement, dated as of June 14, 2005, by and among the parties hereto (the "Original Agreement"). Capitalized terms used but not otherwise defined herein shall have the meanings accorded to them in Article I.
