This Precedent Agreement ("Precedent Agreement") is made and entered into this 27th day of September, 2007, between Kinder Morgan Interstate Gas Transmission LLC ("Transporter"), a Colorado limited liability company, and Nedak Ethanol LLC ("Shipper"). Each of Transporter and Shipper are sometimes referred to herein individually as a "Party" and collectively as the "Parties."
