THIS FIRST AMENDMENT TO BUNGE AGREEMENT – EQUITY MATTERS (“Amendment”) is made and entered into this 17th day of June, 2010 by and between Bunge N.A. Holdings, Inc., a Delaware corporation (“Bunge N.A.”) and Southwest Iowa Renewable Energy, Inc., a Delaware corporation (“SIRE”).

THIS INTERCREDITOR AGREEMENT (this “Agreement”), dated as of June 17, 2010, is made by BUNGE N.A. HOLDINGS, INC., a Delaware corporation (“Bunge”), ICM, INC., a Kansas corporation (“ICM”) and, upon execution of a counterpart signature page to this Agreement, the trustee appointed under the Indenture (as defined below) (the “Trustee”), as trustee and as attorney-in-fact for the Public Noteholders (as defined below). Bunge, ICM and the Public Noteholders are each referred to individually herein as a “Subordinated Noteholder” and, collectively, as the “Subordinated Noteholders.”

THIS AGREEMENT, is entered into as of the 17th day of June, 2010 (“Effective Date”), by and among ICM, Inc. a corporation organized and existing under the laws of Kansas “ICM”), and Southwest Iowa Renewable Energy, LLC, a limited liability company organized and existing under the laws of Iowa (“SIRE” and together with ICM, the “Parties” and each individually a “Party”).
