CLASS A STOCK PURCHASE AGREEMENT This Class A Stock Purchase Agreement (this “Agreement”) is made and effective as of June 10, 2005 and amended and restated as of June 16, 2005 by and among Gaiam, Inc., a Colorado corporation (the “Company”), and each of the Purchasers identified in the signature pages attached hereto (each, a “Purchaser” and collectively, the “Purchasers”). RECITALS WHEREAS, subject to the terms and conditions set forth in this Agreement, the Company desires to sell to each of the Purchasers and each of the Purchaser desires to purchase from the Company certain shares of the Company’s Class A Common Stock, $0.0001 par value per share (the “Class A Stock”), as more fully set forth in this Agreement.
