THIS LIMITED LIABILITY COMPANY AGREEMENT of IRC-IREX VENTURE, L.L.C., a Delaware limited liability company (the “Company”), is entered into and shall be effective as of September 5, 2006, by and between Inland Real Estate Exchange Corporation (“IREX”), a Delaware corporation, and Inland Venture Corporation (“Venture Corp.”), a Delaware corporation.
