This STOCK PURCHASE AGREEMENT ("Agreement") dated as of December 1, 2008 ("Effective Date") is entered into by and among YA SERVICIOS, S.A. DE C.V., SOFOM, E.N.R., a Mexican Corporation, ("Servicios"), FIRST CASH, S.A. DE C.V., a Mexican corporation ("FCSA") (Servicios and FCSA each a "Purchaser", and together "Purchasers"); CENTRAL AMERICA CAPITAL, S.A. DE C.V., a Mexican corporation (the "Company"), JEFF A.
