This Amendment No. 1 is entered into as of the 28 day of April, 2003 (the “Amendment”), by and between Richard E. Davis (the “Executive”) and NMT Medical, Inc., a Delaware corporation (the “Company”), to amend the Employment Agreement, dated as of February 14, 2001, by and between the Executive and the Company (the “Agreement”).
