EMPLOYMENT AGREEMENT AGREEMENT, made and entered into as of the 12 day of September, 2003 by and between Footstar, Inc., a Delaware corporation (together with its successors and assigns permitted under this Agreement, the “Company”), and NEELE E. STEARNS, JR. (the “Executive”). W I T N E S S E T H : WHEREAS, the Company desires to employ the Executive pursuant to an agreement embodying the terms of such employment (this “Agreement”) and the Executive desires to enter into this Agreement and to accept such employment, subject to the terms and provisions of this Agreement; NOW, THEREFORE, in consideration of the premises and mutual covenants contained herein and for other good and valuable consideration, the receipt of which is mutually acknowledged, the Company and the Executive (individually a “Party” and together the “Parties”) agree as follows: 1.
