EMPLOYMENT AGREEMENT EMPLOYMENT AGREEMENT (this “Agreement”), dated as of November 3, 2004, between PHILIP KOWALCZYK (the “Executive”) and THE TALBOTS, INC., a Delaware corporation (the “Company”). W I T N E S S E T H WHEREAS, the Company desires to employ the Executive, and the Executive desires to be employed by the Company on the terms, provisions and conditions hereinafter provided; NOW, THEREFORE, in consideration of the mutual representations, warranties, covenants and undertakings herein set forth, the parties hereto agree as follows: 1. Engagement. The Company hereby agrees to employ the Executive, and the Executive hereby accepts such employment, as Executive Vice President and Chief Administrative Officer of the Company, on the terms and conditions set forth herein, unless and until such employment hereunder shall have been terminated as provided in this Agreement. 2.
