This CHANGE IN CONTROL AGREEMENT (“Agreement”), dated as of July 19, 2004, is entered into by and between Heartland Bancshares, Inc., a bank holding company organized under the laws of the State of Indiana, having its principal executive offices at 420 North Morton Street, Franklin, Indiana 46131 (“Company”), and Steven L. Bechman (“Executive”).
