THE AGREEMENT was made and entered into as of April 18, 2008, and subsequently amended on December 31, 2008, by and between Callon Petroleum Company, a Delaware corporation (together with its subsidiaries, “Callon”) and ___________, as the current ________________, (“Executive”). Callon and Executive may be referred to individually herein as “Party” and collectively as “Parties”. The Agreement is hereby being amended and restated in its entirety, without a gap or lapse in coverage, effective as of January 1, 2011 (the “Effective Date”).
