THIS MEMBERSHIP INTEREST PURCHASE AGREEMENT (this “Agreement”), dated as of May 3, 2023 (the “Execution Date”), is by and among Percussion Petroleum Management II, LLC, a Delaware limited liability company (“Seller”), Percussion Petroleum Operating II, LLC, a Delaware limited liability company (the “Company”), Callon Petroleum Operating Company, a Delaware corporation (“Buyer”), and Callon Petroleum Company, a Delaware corporation (“Parent” and together with Buyer, collectively, the “Buyer Parties” and each, a “Buyer Party”). Seller, the Company, Buyer and Parent are each sometimes referred to in this Agreement as a “Party” and collectively as the “Parties.”
