This Management Contract is dated as of August 3, 2007 between PUTNAM TAX SMART FUNDS TRUST, a Massachusetts business trust (the “Fund”), and PUTNAM INVESTMENT MANAGEMENT, LLC, a Delaware limited liability company (the “Manager”).
