FOR CONSIDERATION, the sufficiency and receipt of which is hereby acknowledged by INTERACTIVE NETWORK, INC., a California corporation (the "Company"), GEORGE RANEY (the "Holder"), is hereby granted a warrant (the "Warrant") to purchase, at any time from the date hereof until 5:00 p.m., San Francisco time, on March 30, 2000 (the "Expiration Date"), the number of shares of fully paid and non-assessable shares (the "Shares") of Common Stock of the Company set forth above.
