This AMENDMENT NO. 2, dated as of October 21, 2022 (this “Amendment”), is to the TRANSFER AND SERVICING AGREEMENT, originally dated as of November 2, 2020, as amended (the “Transfer and Servicing Agreement”), by and among VERIZON OWNER TRUST 2020-C, as issuer (the “Issuer”), VERIZON ABS LLC, as depositor (the “Depositor”) and CELLCO PARTNERSHIP d/b/a VERIZON WIRELESS (“Cellco”), as servicer (in such capacity, the “Servicer”), as marketing agent (in such capacity, the “Marketing Agent”) and as custodian.
