This Agreement supersedes and replaces in its entirety the Amended and Restated Fund Participation Agreement dated October 16, 2006 by and among American Enterprise Life Insurance Company, IDS Life Insurance Company, Ameriprise Financial Services, Inc., LAM and the Fund.

Agreement, made the 15th day of September, 2005, between Lazard Retirement Series, Inc., a Maryland corporation (the “Fund”), on behalf of the portfolios named on Schedule 1 hereto, as such Schedule may be revised from time to time (each, a “Portfolio”), and Lazard Asset Management LLC, a New York limited liability company (the “Investment Manager”).
