This AMENDMENT NO. 2, FORBEARANCE, AND LIMITED WAIVER AGREEMENT (this “Agreement”) dated as of July 28, 2008, among Security Capital Assurance Ltd. (“SCA”), XL Capital Assurance Inc. (“XLCA”), XL Financial Assurance Ltd.
