AMENDED AND RESTATED AGREEMENT made as of the 1st day of January, 2009, by and between Citi Fund Services Ohio, Inc., formerly known as Citi Fund Services Ohio, Inc. (“Citi Ohio”), an Ohio corporation, Citi Fund Services (Cayman) Limited (“Citi Cayman”) and each entity that has executed this Agreement, as listed on the signature page hereto (each, a “Company”), each of which has a registered or principal office as set forth below its signature.

This Amendment, dated as of September 14, 2009 (the “Amendment”), between Citi Fund Services Ohio, Inc., an Ohio corporation (“Citi”), and, among other parties, HSBC Investor Funds and HSBC Advisor Funds Trust (each, the “Trust”), amends that certain Omnibus Fee Agreement between Citi, each Trust, and the other entities listed on the signature to the Agreement, dated April 1, 2003 and amended and restated on January 1, 2009 (as amended and in effect on the date hereof, the “Agreement”). All capitalized terms used but not defined herein shall have the meanings given to them in the Agreement.
