This Employment Agreement (the “Agreement”) is entered into on January 8, 2010 (the “Execution Date”) and is effective as of January 1, 2010 (the “Effective Date”), by and between NovaDel Pharma, Inc. (the “Company”), and Steven B. Ratoff (the “Executive”). The Company and the Executive are hereinafter collectively referred to as the “Parties,” and individually referred to as a “Party”.
