THIS AGREEMENT AND PLAN OF REORGANIZATION (the “Agreement”) is made as of the 15th day of March, 2013, by and between the Lord Abbett Securities Trust, a Delaware statutory trust (the “Trust”), on behalf of its series, Lord Abbett Growth Leaders Fund (the “Acquiring Fund”), with its principal place of business at 90 Hudson Street, Jersey City, NJ 07302-3973, and the Lord Abbett Stock Appreciation Fund (the “Acquired Fund”), with its principal place of business at 90 Hudson Street, Jersey City, NJ 07302-3973. The Acquiring Fund and the Acquired Fund are sometimes referred to collectively herein as the “Funds” and individually as a “Fund.”
