This EMPLOYMENT AGREEMENT (this “Agreement”), dated as of January 10, 2014 (the “Effective Date”), is between SIRIUS XM RADIO INC., a Delaware corporation (the “Company”), and PATRICK L. DONNELLY (the “Executive”).
