AMENDED AND RESTATED AGREEMENT effective as of December 31, 2013 between First Eagle Funds, a Delaware statutory trust (the “Trust”) having its principal place of business at 1345 Avenue of the Americas, New York, NY 10105 and acting solely on behalf of its separate series designated the First Eagle High Yield Fund (the “Fund”), and First Eagle Investment Management, LLC (“FEIM”), a Delaware limited liability corporation also having its principal place of business at 1345 Avenue of the Americas, New York, NY 10105.

This Agreement, entered into as of October 4, 2013 by and between FIRST EAGLE INVESTMENT MANAGEMENT, LLC, a registered investment adviser organized under the laws of the State of Delaware (the “Adviser”), and First Eagle U.S. Value Cayman Fund, Ltd., a Cayman Islands exempted company (the “Subsidiary”), a wholly-owned subsidiary of the First Eagle Funds, a Delaware statutory trust and open-ended investment company (the “Trust”), on behalf of its series, First Eagle U.S. Value Fund (the “U.S. Value Fund”). The purpose of the Subsidiary is to facilitate the implementation of the U.S. Value Fund’s investment strategies.
