FIRST AMENDMENT, dated as of January 20, 2017 (this “Agreement”), among Gartner, Inc., a Delaware corporation (the “Borrower”), each other Loan Party party hereto, the Lenders party hereto and JPMorgan Chase Bank, N.A., as administrative agent (the “Administrative Agent”) which shall amend (i) that certain Credit Agreement, dated as of June 17, 2016, among the Borrower, the several lenders from time to time party thereto (the “Lenders”), and the Administrative Agent (as in effect on the date hereof, the “Credit Agreement”) and (ii) that certain Guarantee and Collateral Agreement, dated as of June 17, 2016, among the Borrower, certain of its Subsidiaries and the Administrative Agent (the “Guarantee and Collateral Agreement”).
