AMENDED AND RESTATED AGREEMENT made as of the ____ day of ____, 20__ by and between China asset management (hong kong) limited, a corporation organized under the laws of Hong Kong and having its principal place of business at 37/F, Bank of China Tower, 1 Garden Road, Hong Kong (the “Sub-Adviser”), and Van Eck Associates Corporation, a corporation organized under the laws of the State of Delaware and having its principal place of business at 666 Third Avenue, 8th Fl., New York, New York 10017 (the “Adviser”) amending and restating (i) an agreement between the Sub-Adviser and the Adviser dated January 7, 2014 with respect to Market Vectors ChinaAMC A-Share ETF and (ii) an agreement between the Sub-Adviser and the Adviser dated July 17, 2014, as amended on November 7, 2014 with respect to Market Vectors ChinaAMC SME-ChiNext ETF and Market Vectors China Bond ETF, for the purposes of incorporating amendments thereto with respect to a new fee and certain other changes.
