THIS AGREEMENT AND PLAN OF REORGANIZATION (the “Agreement”) is made as of the 22nd day of February, 2019, by and among Lord Abbett Securities Trust, a Delaware statutory trust (“Securities Trust”), on behalf of its series, Lord Abbett Fundamental Equity Fund (the “Acquiring Fund”), and Lord Abbett Equity Trust, a Delaware statutory trust (“Equity Trust”), on behalf of its series, Lord Abbett Calibrated Large Cap Value Fund (the “Target Fund,” and, together with the Acquiring Fund, each a “Fund” and collectively, the “Funds”). Each Fund’s principal place of business is 90 Hudson Street, Jersey City, NJ 07302-3973.
