THIS AGREEMENT AND PLAN OF REORGANIZATION (the “Agreement”) is made as of the 22nd day of February, 2019, by and among Lord Abbett Mid Cap Stock Fund, Inc., a Maryland corporation (the “Company” or the “Acquiring Fund”), and Lord Abbett Equity Trust, a Delaware statutory trust (the “Trust”), on behalf of its series, Lord Abbett Calibrated Mid Cap Value Fund (the “Target Fund,” and, together with the Acquiring Fund, each a “Fund” and collectively, the “Funds”). Each Fund’s principal place of business is 90 Hudson Street, Jersey City, NJ 07302-3973.
