THIS AGREEMENT AND PLAN OF REORGANIZATION (the “Agreement”) is made as of the 22nd day of March, 2019, by and among Lord Abbett National Tax Free Fund (the “Acquiring Fund”), a series of Lord Abbett Municipal Income Fund, Inc., a Maryland corporation (the “Company”), and Lord Abbett AMT Free Municipal Bond Fund (the “Target Fund,” and, together with the Acquiring Fund, each a “Fund” and collectively, the “Funds”), a series of the Company. Each Fund’s principal place of business is 90 Hudson Street, Jersey City, NJ 07302-3973.
