This amendment, dated May 1, 2019, is made by the parties to the Transfer Agency and Service Agreement entered into on July 20, 2010, as amended (the “Agreement”), between the TIAA-CREF Life Funds (collectively, the “Funds” and individually, the “Fund”) by and on behalf of each of its Portfolios, individually and not jointly, as listed on Schedule A to the Agreement, and DST Asset Manager Solutions, Inc. (formerly known as Boston Financial Data Services, Inc.) (the “Transfer Agent”). Capitalized terms used in this amendment without definition shall have the respective meanings given to such terms in the Agreement.

This is an amendment, dated as of May 1, 2016, to the Amended and Restated Distribution Agreement for TIAA-CREF Life Funds (“Agreement”), dated the 10th day of September 2013, as amended from time to time, between TIAA-CREF Life Funds (the “Trust”), a Delaware statutory trust, and Teachers Personal Investors Services, Inc. (the “Distributor”), a Delaware corporation.
