This Gemini Clearing Agreement (“Clearing Agreement” or “Agreement”) is entered into and effective as of October 26, 2023, between VanEck Bitcoin Trust, a statutory trust organized in Delaware (the “Customer”), and Gemini Trust Company, LLC, a New York State-chartered limited purpose trust company (“Gemini” or “Custodian”, and together with Customer the “Parties,” and each individually, a “Party”), as custodian to the Customer. This Agreement governs Customer’s use of Gemini Clearing (as defined below).
