This Third Amended and Restated Fee Waiver and Expense Reimbursement Agreement (this “Agreement”) effective as of April 23, 2024 (the “Effective Date”), amends and restates that Corrected Second Amended and Restated Fee Waiver and Expense Reimbursement Agreement effective as of June 1, 2023, between each investment company listed on Appendix A hereto (each, a “Fund” and collectively, the “Funds”), and Virtus Investment Advisers, Inc., a Massachusetts corporation (the “Adviser”).
