This Stock Transfer Agreement (this “Agreement”), dated as of December 31, 2002, is entered into by and among Michael P. Krasny, an individual residing in the State of Illinois (“Mr. Krasny”), the Michael P. Krasny Revocable Trust dated July 1, 1993 (the “Trust”), and Scott D. Miller, an individual residing in the State of Texas (“Mr. Miller”).
