This First Amendment to the Preferred Stock Rights Agreement (the “Amendment”) is made and entered into as of June 1, 2003 between J.D. EDWARDS & COMPANY, a Delaware corporation (the “Company”), and COMPUTERSHARE TRUST COMPANY, INC., as Rights Agent (the “Rights Agent”).
