FOR VALUE RECEIVED, the undersigned Subsidiaries of KNOLOGY Broadband, Inc., a Delaware corporation (collectively, the "Borrowers"), hereby promise to pay to the order of Wachovia Bank, National Association (the "Lender"), at the times, at the place and in the manner provided in the Credit Agreement hereinafter referred to below, the principal sum of FIFTEEN MILLION FOUR HUNDRED SIXTY-FOUR THOUSAND SEVEN HUNDRED FIFTY AND NO 100/DOLLARS ($15,464,750.00), or, if less, the aggregate unpaid principal amount of all Loans (as defined in the Credit Agreement) made by the Lender to the Borrowers from time to time pursuant to the Credit Agreement, together with interest at the rates as in effect from time to time with respect to each portion of the principal amount hereof, determined and payable as provided in Article IV of the Credit Agreement.
