THIS REGISTRATION RIGHTS AGREEMENT, dated as of March 25, 2002, is entered into by and among Kilroy Realty Corporation, a Maryland corporation (the “Company” or the “REIT”), Kilroy Realty, L.P., a Delaware limited partnership (the “Operating Partnership”), and the unit holders whose names are set forth on the signature pages hereto (each, a “Unit Holder” and collectively, the “Unit Holders”).
