In order to provide Vanguard Montgomery Funds (the "Trust") with its initial capital, Goliath, Inc. (the "Purchaser") is hereby purchasing from the Trust 7,937 shares of beneficial interest, $0.001 par value, of Vanguard(R) Market Neutral Fund (the "Shares"), at a purchase price of $12.60 per Share, for a total purchase price of $100,000. This agreement shall be subject to and construed consistent with Section 14(a) of the Investment Company Act of 1940, as amended.
