THIS CONSULTING AGREEMENT (the “Agreement”) is made and entered into effective as of the 17th day of August, 2005 (the “Effective Date”) by and between MIRAVANT MEDICAL TECHNOLOGIES, a Delaware corporation (the “Company”), and ROBERT J. SUTCLIFFE (the “Consultant”). The Company desires to retain the Consultant as an independent contractor to perform consulting services for the Company and the Consultant desires to perform such services, on terms set forth more fully below.
