This REGISTRATION RIGHTS AGREEMENT, dated as of June 18, 2012 (this “Agreement”), is entered into by and between DTE Energy Company, a Michigan corporation (the “Company”), and EVERCORE TRUST COMPANY, N.A., solely in its capacity as duly appointed and acting investment manager (the “Manager”) of a segregated account held in the DTE Energy Company Affiliates Employee Benefit Plans Master Trust (the “Trust”) created under the DTE Energy Company Retirement Plan (the “Plan”).
