Reference is made to the Subordination Agreement, dated as of June 22, 2001 (the "SUBORDINATION AGREEMENT"), by LIBERTY LIVEWIRE CORPORATION (the "BORROWER") and LIBERTY MEDIA CORPORATION ("LIBERTY MEDIA"), in favor of HELLER FINANCIAL LEASING, INC.
