Each of Company and Supplier is hereinafter referred to as a “Party,” and are collectively referred to herein as the “Parties.”

THIS SETTLEMENT AGREEMENT AND RELEASE OF CLAIMS (the “Agreement”) is entered into by and between Artes Medical, Inc. (formerly, Artes Medical USA, Inc.), a Delaware corporation (“Artes Medical”), FormMed Biomedicals AG, a Swiss company subject to Swiss corporate law (“FormMed”), and Dr. Martin Lemperle, an individual and the sole shareholder of FormMed (“Lemperle”) (collectively referred to as the “Parties”) as of October 26, 2005 (the “Effective Date”).
