This Amendment to the Amended and Restated Rights Agreement is entered into as of December 7, 2006 by and between Qualcomm Incorporated, a Delaware corporation (the “Company”), and Computershare Investor Services LLC, a Delaware Limited Liability Company (“Rights Agent”), with respect to the Amended and Restated Rights Agreement dated as of September 26, 2005 (the “Agreement”).
