This Unit Purchase Agreement (this “Agreement”), dated as of February 20, 2007, is made by and among IDM Pharma, Inc., a Delaware corporation (the “Company”), and the Purchasers listed on Exhibit A (each, a “Purchaser” and collectively, the “Purchasers”).

This Certifies That, for value received, ___, with its principal office at ___, or assigns (the “Holder”), is entitled to subscribe for and purchase at the Exercise Price (defined below) from IDM Pharma, Inc., a Delaware corporation, with its principal office at 9 Parker, Suite 100, Irvine, CA 92618 (the “Company”) up to ___ shares of the Common Stock of the Company (the “Common Stock”). This Warrant is being issued pursuant to the terms of the Unit Purchase Agreement, dated February 20, 2007 by and among the Company and the Purchasers (as defined therein) (the “Purchase Agreement”).
