THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT, effective as of the last date signed by the parties hereto (the “Effective Date”), supersedes and replaces the Employment Agreement dated September 18, 2006 by and between Neurocrine Biosciences, Inc., 12790 El Camino Real, San Diego, California 92130 (hereinafter the “Company”), and Timothy P. Coughlin (hereinafter “Executive”) (the “Original Employment Agreement”). Once this Agreement is effective, the Original Employment Agreement shall have no further force or effect.
