This Amendment No. 1 to Registration Rights Agreement (this “Amendment”) dated as of April 23, 2009 is entered into by and between Santarus, Inc., a Delaware corporation (the “Company”) and Cosmo Technologies Limited, an Irish corporation (the “Investor”). Capitalized terms used and not otherwise defined herein that are defined in this Amendment shall have the meanings given such terms in the Original Agreement (as defined below).
