This SHARE PURCHASE AGREEMENT (this “Agreement”) is made and entered into as of April 22, 2009 (the “Agreement Date”), by and among NuVasive, Inc., a Delaware corporation (“Purchaser”), on the one hand, and the stockholders of Cervitech, Inc., a Delaware corporation (the “Company”), as listed on Exhibit A hereto (each, a “Seller”, and collectively, the “Sellers”), on the other hand.
