This CHANGE IN CONTROL AGREEMENT (“Agreement”) is entered by and between RIVERVIEW BANCORP, INC., a registered bank holding company (“Bancorp”), RIVERVIEW BANK, a state-chartered commercial bank (the “Bank”), which is a wholly owned subsidiary of Bancorp (Bancorp and the Bank are collectively referred to as the “Company”), and Nicole Sherman (“Executive”), and is dated July 1, 2024 (the “Effective Date”). The Company and Executive are referred to herein each individually as a “Party” and collectively as the “Parties.”
