REGISTRATION RIGHTS AGREEMENT (this "Agreement"), dated as of December 9, 2010, by and between BIG CAT ENERGY CORPORATION, a Nevada corporation, (the "Company"), and HIGH PLAINS GAS, INC., a Nevada corporation (together with it permitted assigns, the “Investor”). Capitalized terms used herein and not otherwise defined herein shall have the respective meanings set forth in the Stock Purchase Agreement by and between the parties hereto, dated as of the date hereof (as amended, restated, supplemented or otherwise modified from time to time, the "Purchase Agreement").

A Stock Purchase Agreement made the 8th day of December 2010 by and between BIG CAT ENERGY CORPORATION, a Nevada corporation (“Big Cat”) whose address is PO Box 500, Upton, Wyoming 82730 and HIGH PLAINS GAS, INC., a Nevada corporation (“High Plains”) whose address is 3601 Southern Rd, Gillette, Wyoming 82718.
