THIS AGREEMENT AND PLAN OF REORGANIZATION (“Agreement”) is made as of this 26th day of April, 2010, by and among Eaton Vance Special Investment Trust (“Special Investment Trust”), a Massachusetts business trust, on behalf of its series Eaton Vance Emerging Markets Fund (“Acquired Fund”), and Eaton Vance Mutual Funds Trust (“Mutual Funds Trust”), on behalf of its series Eaton Vance Structured Emerging Markets Fund (“Acquiring Fund”).
