THIS AGREEMENT AND PLAN OF REORGANIZATION (“Agreement”) is made as of this 14th day of March, 2011, by and among Eaton Vance Municipals Trust (“Municipals Trust”), a Massachusetts business trust, on behalf of its series Eaton Vance Michigan Municipal Income Fund (“Michigan Fund”) and Eaton Vance Rhode Island Municipal Income Fund (“Rhode Island Fund”) and Municipals Trust, on behalf of its series Eaton Vance National Municipal Income Fund. Eaton Vance Michigan Municipal Income Fund and Eaton Vance Rhode Island Municipal Income Fund, are collectively referred to herein as the “Acquired Funds”, and Eaton Vance National Municipal Income Fund is referred to herein as the “Acquiring Fund”.
