THIS AGREEMENT AND PLAN OF REORGANIZATION (“Agreement”) is made as of this 14th day of March, 2011, by and among Eaton Vance Investment Trust, a Massachusetts business trust (“Investment Trust”) on behalf of its series Eaton Vance New Jersey Limited Maturity Municipal Income Fund (“New Jersey Limited Fund”) and Investment Trust, on behalf of its series Eaton Vance National Limited Maturity Municipal Income Fund (“National Limited Fund”).
